Meridium’s company secretarial and accounting teams prepare and file the AGM papers, annual returns, ECI and tax returns for foreign-owned Singapore companies every year, so no deadline depends on someone remembering it.

How the dates are counted: deadlines that run from the financial year end are counted in calendar months. When the year end is the last day of a month, they fall on the last day of the month concerned.

Rules as published by ACRA, IRAS and CPF Board, checked 15 October 2026, for a non-listed private company with a normal financial year and no approved extension of time. Public holidays are not taken into account.

A planning overview, not advice. Listed companies, overseas branch registers, changes of financial year end and extensions of time follow their own rules. Confirm your dates with your corporate secretary or with us.

    The rules

    How each deadline is counted

Three deadlines follow your financial year end, the tax return follows the Year of Assessment, and GST, CPF and employment income run on their own cycles.

    Common questions

When are the first deadlines for a new company?

The same rules apply from the first financial year end: ECI within 3 months, the AGM within 6 months and the annual return within 7 months of it. Tick "Our first financial year has not ended yet" in the calculator and choose the year it ends.

Does a dormant company still have to file?

Yes. ACRA requires an annual return from every live company, including inactive and dormant ones, and a dormant company also files a tax return unless IRAS has granted a waiver. A dormant, unlisted private company with total assets of S$500,000 or less is exempt from holding an AGM.

Why is the tax return due in the following year?

Singapore taxes a company’s income in the year after it is earned. The financial year ending in 2026 is assessed in Year of Assessment 2027, and that return is due by 30 November 2027.

    Can a deadline be extended?

ACRA can grant an extension of time for the AGM and the annual return if you apply before the deadline. IRAS generally does not extend GST return deadlines. Ask before the date passes, not after.

What happens if a deadline is missed?

ACRA charges late lodgement penalties of up to S$600 for an annual return, and repeated defaults can lead to the prosecution of directors. IRAS can impose penalties of up to S$5,000 for a late or missing corporate tax return. Unpaid CPF contributions attract late payment interest.

    Is anything I enter stored?

No. The calculator runs in your browser and sends nothing. If you ask us to email the dates, your name, email address, company and the dates are sent to HubSpot, the CRM Meridium uses, as described in our data protection policy.
