Meridium

For companies expanding into Asia

Your Singapore subsidiary, set up properly and run by senior advisers.

Meridium sets up and runs Singapore subsidiaries, regional headquarters and holding companies for foreign groups. One senior team takes you from structure to first payroll, and stays accountable for the entity afterwards.

What we set up

Everything a new Singapore entity needs, coordinated in one place.

  • Structure

Subsidiary, branch or representative office, holding structure and share capital, decided before anything is filed, with tax residency and treaty access in mind.

  • Resident director

A nominee resident director where you have nobody in Singapore. Your side keeps the board majority, so decisions stay with you.

  • Employment Passes

Passes for the people you relocate, planned against MOM’s salary thresholds and COMPASS, including cover for the gap before a relocating director’s pass is issued.

  • Corporate bank account

Introductions to banks that suit your ownership structure, with the documents they ask for prepared in advance.

  • Licences and registrations

The approvals your activity needs, and the tax, GST and CPF registrations, filed in the right order.

  • First-year compliance

Company secretary, registered office, accounting, tax and payroll from day one, with a compliance calendar handed to your named contact.

Setup planner

See your structure, timeline and fees before you speak to anyone.

Seven questions about your business. The planner recommends a structure and shows your critical path, government fees and tax position straight away.

How it works

From first call to operating entity.

  1. Scoping call

A senior adviser reviews your plans, confirms the structure and flags what will take longest, usually the bank account, passes or licences.

  2. Fixed-fee proposal

A written scope and fee, with a realistic timeline for your case.

  3. KYC and documents

Identity checks done once, and every document prepared for signature, remotely if you prefer.

  4. Incorporation and handover

The entity is registered and its roles are in place, the bank account and passes are progressed, and your named contact takes over the ongoing work.

Common questions

How long does it take to set up a Singapore subsidiary?

Incorporation itself is usually quick once documents are signed. The overall timeline is set by the steps around it: the corporate bank account, Employment Passes and any licence. The setup planner on this page shows a typical timeline for your case, and we confirm it at the scoping call.

Do we need someone in Singapore to be a director?

Yes. Every Singapore company needs at least one director who is ordinarily resident in Singapore. If you have nobody suitable, a nominee director fills the role, and you appoint your own directors alongside, so your side controls the board.

Should we set up a subsidiary or a branch?

Most foreign groups choose a subsidiary: it keeps liabilities in Singapore, can be Singapore tax resident and can sponsor Employment Passes. A branch is part of the parent, which carries its liabilities directly. The setup planner weighs this for your case.

Can you also run the entity after incorporation?

Yes. Company secretarial, accounting and tax, GST, payroll and work passes are delivered by the same senior team, so nothing falls between providers.

Meridium Management Consultants Pte. Ltd. is a private corporate services firm and is not affiliated with ACRA, MOM, IRAS or any other government agency. Our professional fees are separate from government fees, and companies can also file directly with ACRA through Bizfile.

Discuss your Singapore entity with a senior adviser.

A scoping call costs nothing and commits you to nothing. You will speak with one of our directors, not a sales team.
